2. Definitions
• Client: The individual or entity engaging Kew Data Consultants for services.
• Services: The consultancy services provided by Kew Data Consultants as outlined in the agreed proposal or contract.
• Agreement: The contract between Kew Data Consultants and the Client, including these terms and any other documents incorporated by reference.
3. Services
3.1 Provision of Services: Kew Data Consultants agrees to provide the Services to the Client as described in the agreed proposal or contract, using reasonable skill and care.
3.2 Modifications: Any changes to the scope of Services must be agreed upon in writing by both parties.
4. Client Obligations
4.1 Information and Access: The Client shall provide all necessary information, access, and cooperation required for Kew Data Consultants to perform the Services.
4.2 Compliance: The Client is responsible for ensuring that their instructions and materials provided to Kew Data Consultants do not infringe any laws or third-party rights.
5. Fees and Payment
5.1 Fees: The Client agrees to pay the fees for the Services as specified in the agreed proposal or contract.
5.2 Invoicing and Payment Terms: Invoices will be issued as outlined in the agreement, and payments are due within 30 days of the invoice date unless otherwise specified.
5.3 Late Payments: Late payments may incur interest at a rate of 2% per month on the outstanding amount.
6. Confidentiality and Data Protection
6.1 Confidentiality: Both parties agree to keep confidential all information designated as confidential, except as required by law or with prior written consent.
6.2 Data Protection: Each party shall comply with applicable data protection laws, including the UK GDPR and Data Protection Act 2018. Kew Data Consultants shall implement appropriate technical and organisational measures to protect personal data processed on behalf of the Client.
7. Intellectual Property Rights
7.1 Ownership: Unless otherwise agreed, all intellectual property rights in materials created by Kew Data Consultants during the provision of Services shall belong to Kew Data Consultants.
7.2 Licence: Upon full payment of fees, Kew Data Consultants grants the Client a non-exclusive, non-transferable licence to use the deliverables for the purposes specified in the agreement.
8. Limitation of Liability
8.1 Extent of Liability: Kew Data Consultants’ total liability under this Agreement shall not exceed the total fees paid by the Client for the Services.
8.2 Exclusions: Kew Data Consultants shall not be liable for any indirect, incidental, or consequential damages arising from the Services.
9. Termination
9.1 Termination by Either Party: Either party may terminate the Agreement with 30 days’ written notice.
9.2 Termination for Cause: Either party may terminate the Agreement immediately if the other party commits a material breach.
9.3 Effect of Termination: Upon termination, the Client shall pay for all Services rendered up to the termination date.
10. Governing Law and Dispute Resolution
10.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
10.2 Dispute Resolution: Any disputes arising under this Agreement shall be resolved through good faith negotiations. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Miscellaneous
11.1 Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.
11.2 Amendments: Any amendments to this Agreement must be in writing and signed by both parties.
11.3 Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in effect.
11.4 Assignment: Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party.
